(TSXV: BEER) (“Hill Street” or the “Company“) is pleased to announce it has signed a non-binding and non-exclusive letter of intent to produce cannabis infused beverages at a facility operated by Peak Processing Solutions.

Peak Processing Solutions is a Canadian cannabis co-packing and white label consumer product manufacturing services firm, currently completing the final set up of its purpose-built, world-class beverage and consumer products production facility. Under the working agreement with Hill Street, Peak will manufacture strategic products in specific formats, which are attractive to Hill Street’s cannabis edibles consumers. With the introduction of “Cannabis 2.0” products into the Canadian market including beverages, topicals, and edibles, Peak’s production capabilities will address Hill Street’s consumer demand for its growing portfolio of cannabis product introductions on a scalable basis. With deep management and operational expertise, Peak offers Hill Street the flexibility to manage supply chain, production and distribution efficiently in a cost-effective manner.

Next Steps for Bringing Hill Street’s Cannabis-Infused to Market

In order for Hill Street to launch its cannabis infused products, Peak will need to receive its Health Canada licence to manufacture cannabis edibles, with completion expected in early 2020. Peak and Hill Street will be required to submit samples of the proposed products to Health Canada for approval, and there is no guarantee that the products will be acceptable to Health Canada for distribution in Canada without alterations or changes to both the formulations and packaging, as well as the intended branding for the products. Further, Hill Street and Peak will be required to receive permission and purchase orders through the Provincial regulators in order to secure distribution for these products. Hill Street and Peak aim to distribute through both government and privately-owned retailers.

  • Gross revenue of $2.432 million, up 61% y/y;
  • Gross profit of $0.432 million up 400% y/y;
  • Gross profit of 18% of gross revenue up from 6% year ago;
  • Net loss of $5.944 million, including the following one-time and non cash charges:
    • $0.918 million charge for the public company listing;
    • $0.826 million for Stock based compensation; and
    • $.869 million in professional fees

Non-Alcoholic Adult Beverages

According to a leading beverage industry market research firm1, the non-alcoholic wine and beer market consistently ranks as one of the fastest growing sectors in the global beverage industry and is expected to generate 8.5% CAGR globally until 2025. In Canada, the segment has experienced annual growth in excess of 20% a year for the past few years, which has seen the launch of new alcohol-free beer brands from the top brewers in the world, in addition to new craft beer offerings from regional and local brewers. Hill Street has acquired a significant part of this growth, leveraging our relationship with major national retailers to expand our presence on shelf, as well as securing the opportunity to produce private label versions of our products for major retailers.

Cannabis-infused Adult Beverages

According to Statistics Canada, there are approximately 20 million consumers who drink alcohol. Per capita, the Canadian consumer drank approximately 255 (371 ml size) bottles per capita in 2015, implying that more than 5 billion bottles of beer were consumed during that year. The annual decline of beer consumption in Canada is 0.7%, as consumers trend to moderation and look for alternatives to alcohol given its negative impact on their health and lifestyle.

Since regulations prohibit the mixing of alcohol and cannabis in a commercial product, a beverage must contain no alcohol if cannabis is to be added to it, and the removal of alcohol from traditional beer and wine changes the flavour profile of the beverage. For this reason, any producer of traditional alcoholic beer or wine wishing to create a cannabis-infused version of its products would first have to produce great tasting alcohol-free versions of their brands that consumers would enjoy. Having already solved this problem, Hill Street is proceeding on to the next stage-infusing its beverages with cannabis. Management’s license agreement with Lexaria Bioscience , provides the Company with access to technology to render cannabis into an odorless and tasteless water-soluble powder which can then be added to its alcohol-free beverages.

Hill Street believes that the cannabis-infused beverage segment can best be described as three distinct beverage categories: 1) “Heighten” (adult recreational use); 2) “Help” (therapeutic or functional beverages); and 3) “Heal” (beverages) and medicinal or prescription beverages). Survey findings, released Wednesday, underline the timeliness of Hill Street’s mission to align consumers with great tasting alcohol alternatives:

  • One in seven Canadian drinkers meets the Center for Disease Control’s definition of ‘excessive drinker’.
  • 41% of Canadians have abstained or have considered abstaining from alcohol.
  • The top five primary reasons respondents cited as to why they’d consider abstaining from alcohol were health reasons (31%), to assist in weight loss (18%), to save money (14%), to detox or cleanse their system (11%), and because they “don’t like alcohol” (9%).
  • 1 in 5 Canadians are open to drinking alcohol-free beverages to help abstain from alcohol.

The results were compiled from a December 2018 survey of more than 1,475 randomly selected Canadians. They’re considered accurate to within 2.5%, 19 times out of 20.

Record Hill Street sales through 2018 confirm a global trend: the popularity of non-alcohol wines and beers is increasing worldwide. In November, Hill Street announced it had sold 1 million bottles of alcohol-free wine since the company’s founding in 2008.

Hill Street Beverage Company announces commercial co-venture agreement with Multiple Sclerosis Society of Canada to promote Hill Street’s Alcohol-Free Wine and Beer

Toronto, Ontario–(Newsfile Corp. – December 18, 2018) – Hill Street Beverage Company Inc. (TSXV: BEER) (“Hill Street” or “the Company”) has signed a commercial co-venture agreement with the Multiple Sclerosis Society of Canada (“MSSC”; Registered Charitable Registration Number 10774 6174 RR0001).

Hill Street Chairman and CEO Terry Donnelly stated, “Since the company was founded, Hill Street has made social responsibility a key part of our business. By partnering with premier health organizations like the Multiple Sclerosis Society of Canada, we’re able to help patients participate in social settings without affecting their necessary medications. And because a donation is made for every product sold, our strategic partnership with the MS Society will help advance research into a disease that affects so many Canadians and their families.” To date, Hill Street has contributed more than $1.7 million to its various partners in this fashion.

The agreement is for a term of one year, and is renewable for two additional terms of one year each. It permits the MS Society of Canada to promote Hill Street’s award-winning portfolio of alcohol-free beer and wine to MSSC’s constituents, with a portion of every sale generated through MSSC directed to help fund world-class research, advocacy, and education for those affected by multiple sclerosis (MS).

Canada has one of the highest rates of MS in the world, with an estimated 77,000 Canadians living with the disease. Certain medications used to treat symptoms of MS may not work as intended when alcohol is introduced. Some individuals living with MS who experience fatigue, balance or bladder problems, may find that alcohol intensifies these symptoms, so it may be wise to limit consumption. Hill Street Reports FQ1 2019 Revenue Up 112% & Provides Update on Operations

Toronto, Ontario–(Newsfile Corp. – November 30, 2018) – Hill Street Beverage Company Inc. (TSXV: BEER) (“Hill Street” or the “Company“) reported its fiscal Q1 2019 financial results for the three-month period ended September 30, 2018. FQ1 F2019 Financial Highlights

  • Quarterly gross revenue of $794,000, up 112% y/y;
  • Quarterly net revenue of $512,000, up 152% y/y;
  • Net loss of $10 million for the quarter, including one-time, non-cash expenses for the reverse takeover transaction (RTO) of $8.9 million, and one-time cash expenses of $305,000. This compares to FQ1 2018 when the Company had a net loss of $167,000.
  • Working capital of $3.4 million, compared with $1.5 million for same period last year;
  • End of quarter cash position of $3.1 million, with no debt.

“As we work towards the anticipated October 2019 legalization of cannabis-infused edibles, Hill Street continues to grow its brand and volume presence in the Non-Alcoholic Beverages segment,” said Terry Donnelly, CEO. “I would highlight that all of the revenue earned during the quarter came from existing retail accounts. The Company presently has one business segment, the marketing and distribution of alcohol-free beer and wine in Canada and, to a much lesser extent, the United States. Hill Street sells its products online and in approximately 4,000 recognized retail chain stores through licensed distributors in Canada. Subsequent to the end of the quarter, the Company also announced significant new distribution and retail listings, giving it an addressable retail market of nearly 7,000 stores, with significant new coverage of the independent retail channel across Canada via National Importers, and the dépanneur retail segment in Quebec via Clark, Drouin, Lefebvre. Non-Alcoholic Adult Beverages

According to a leading beverage industry market research firm1, the non-alcoholic wine and beer market consistently ranks as one of the fastest growing sectors in the global beverage industry and is expected to generate 8.5% CAGR globally until 2025. In Canada, the segment has experienced annual growth in excess of 20% a year for the past few years, which has seen the launch of new alcohol-free beer brands from the top brewers in the world, in addition to new craft beer offerings from regional and local brewers. Hill Street has acquired a significant part of this growth, leveraging our relationship with major national retailers to expand our presence on shelf, as well as securing the opportunity to produce private label versions of our products for major retailers such as President’s Choice De-Alcoholized Wine.

Cannabis-infused Adult Beverages

According to Statistics Canada, there are approximately 20 million consumers who drink alcohol. Per capita, the Canadian consumer drank approximately 255 (371 ml size) bottles per capita in 2015, implying that more than 5 billion bottles of beer were consumed during that year. The annual decline of beer consumption in Canada is 0.7%, as consumers trend to moderation and look for alternatives to alcohol given its negative impact on their health and lifestyle. According to recent research released by Deloitte, approximately 30% of the Canadian population is interested in trying cannabis edibles, including beverages. If they all chose to switch to cannabis-infused beer, the size of the beer market alone would be 1.6 billion bottles, or almost 66 million standard cases of 24 bottles of cannabis-infused beer per year. At an average wholesale price of $36 per case, $2.36 billion in market potential.

Since regulations prohibit the mixing of alcohol and cannabis in a commercial product, a beverage must contain no alcohol if cannabis is to be added to it, and the removal of alcohol from traditional beer and wine changes the flavour profile of the beverage. For this reason, any producer of traditional alcoholic beer or wine wishing to create a cannabis-infused version of its products would first have to produce great tasting alcohol-free versions of their brands that consumers would enjoy. Having already solved this problem, Hill Street is proceeding on to the next stage-infusing its beverages with cannabis. Management signed a license agreement with Lexaria Bioscience during the quarter, providing the Company with access to technology to render cannabis into an odorless and tasteless water-soluble powder which can then be added to its alcohol-free beverages.

Hill Street believes that the cannabis-infused beverage segment can best be described as three distinct beverage categories: 1) “Heighten” (adult recreational use); 2) “Help” (therapeutic or functional beverages); and 3) “Heal” (medicinal or prescription beverages). We intend to market beverages for the adult use and therapeutic or functional beverage categories, and to explore co-packing partnerships with major licensed producers to address the prescription drug or medicinal segment.

Hill Street intends to meet this potential demand with the same type of high quality and award-winning products we have produced for the alcohol-free category, and with the same level of focus on brand development, sales and distribution.
